Welcome to Lavafoshi for Artists, a service provided by Lavafoshi Private Limited ("Lavafoshi," "we," "us," or "our"). These Terms of Use ("Terms") govern your use of our artist platform and services.

By creating an account or uploading content through Lavafoshi for Artists, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the platform.

1. Platform Overview

Lavafoshi for Artists is a content distribution platform that enables artists, labels, and rights holders to upload, distribute, and promote music and associated content to listeners through the Lavafoshi streaming service.

You hereby acknowledge and agree that Lavafoshi:

Stores content and other information at the direction, request, and with the authorization of its users
Acts as a hosting platform for the uploading, storage, and streaming of such content
May play an active role in promoting content on the platform and through marketing channels
Is not responsible for reviewing or verifying ownership of content prior to upload

2. Eligibility

To use Lavafoshi for Artists, you must:

Be at least 18 years of age, or the age of majority in your jurisdiction
Have the legal capacity to enter into binding agreements
Not be prohibited from using our services under applicable law

If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Your Content

3.1 Definition

"Your Content" means all audio files, musical compositions, sound recordings, album artwork, cover art, photographs, images, metadata, lyrics, liner notes, artist names, biographical information, and any other materials you upload, submit, or make available through the platform.

3.2 Ownership and Rights Representations

By uploading Your Content to the platform, you represent and warrant that:

Ownership: You are the sole and exclusive owner of all rights, title, and interest in and to Your Content, including all intellectual property rights therein; OR
Authorization: You have obtained all necessary licenses, permissions, consents, and authorizations from all applicable rights holders to upload, distribute, stream, reproduce, display, and otherwise exploit Your Content on and through the platform, including but not limited to:
- Sound recording rights (master rights)
- Musical composition rights (publishing rights)
- Album artwork and cover art rights
- Photographic and image rights
- Any sampled or interpolated content
- Performance rights from all featured and non-featured artists
No Infringement: Your Content does not and will not infringe, misappropriate, or violate any third party's copyright, trademark, patent, trade secret, moral rights, rights of privacy, rights of publicity, or any other intellectual property or proprietary rights.
Third Party Clearances: You have obtained any and all necessary consents, permissions, releases, and/or waivers from all persons appearing in, contributing to, or depicted in Your Content, including their name, voice, likeness, image, or performance.
Original or Licensed Artwork: All album artwork, cover art, and visual materials included with Your Content are either:
- Original works created by you or created specifically for your use; or
- Properly licensed works for which you hold valid, documented rights for distribution and promotional use
No False Claims: You will not upload content to which you do not hold rights or falsely claim ownership of content owned by others.

3.3 License Grant to Lavafoshi

By uploading Your Content, you grant Lavafoshi a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to:

Host, store, cache, and make available Your Content through the Lavafoshi service
Stream and deliver Your Content to end users
Reproduce, distribute, publicly display, and publicly perform Your Content in connection with the service
Create technical copies as necessary for service operation
Modify or adapt Your Content for technical purposes (e.g., format conversion, compression)
Use Your Content for platform improvement and recommendation algorithms

3.4 Promotional and Marketing License

You additionally grant Lavafoshi a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute:

Your Content, including album artwork, artist name, likeness, biographical information, and promotional materials
For marketing, advertising, and promotional purposes
Including but not limited to: app store listings, screenshots, previews, social media promotion, press materials, advertising campaigns, editorial features, and investor presentations
In any media format and through any distribution channels

This promotional license survives termination of your account with respect to materials already published or distributed prior to termination.

3.5 Responsibility for Your Content

You are solely responsible for Your Content and the consequences of uploading and distributing it. Lavafoshi does not endorse any User Content or any opinion, recommendation, or advice expressed therein, and Lavafoshi expressly disclaims any and all liability in connection with User Content.

4. Prohibited Content

You may not upload, distribute, or transmit any content that:

Infringes any copyright, trademark, or other intellectual property right
Contains material you do not have the right to distribute
Is defamatory, obscene, pornographic, or harmful to minors
Violates any applicable law or regulation
Contains malware, viruses, or harmful code
Impersonates any person or entity
Contains unauthorized samples, interpolations, or derivative works
Uses unlicensed or stolen artwork, photographs, or visual materials
Misrepresents the origin, ownership, or authorship of the content

5. Copyright Infringement and DMCA Policy

5.1 Commitment to Copyright Protection

Lavafoshi respects the intellectual property rights of others and expects our users to do the same. We comply with the provisions of the Digital Millennium Copyright Act (DMCA) and other applicable copyright laws.

5.2 Reporting Infringement

If you believe that your copyrighted work has been copied and is accessible on the Lavafoshi platform in a way that constitutes copyright infringement, please provide our designated copyright agent with the following information:

A physical or electronic signature of the copyright owner or authorized agent
Identification of the copyrighted work(s) claimed to have been infringed
Identification of the material that is claimed to be infringing, including information reasonably sufficient to permit us to locate the material
Your contact information (address, telephone number, and email address)
A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
A statement, made under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or are authorized to act on behalf of the owner

5.4 Counter-Notification

If you believe that Your Content was removed or disabled by mistake or misidentification, you may submit a counter-notification containing:

Your physical or electronic signature
Identification of the material that has been removed and the location where it appeared before removal
A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification
Your name, address, telephone number, and email address
A statement that you consent to the jurisdiction of the courts in the Maldives and that you will accept service of process from the person who provided the original infringement notification

5.5 Repeat Infringers

Lavafoshi maintains a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers.

6. Account Termination

6.1 Termination by You

You may terminate your account at any time by contacting us at [email protected]. Upon termination, we will remove Your Content from active distribution within a reasonable timeframe, though cached copies may persist temporarily.

6.2 Termination by Lavafoshi

Lavafoshi reserves the right to suspend or terminate your access to the platform at any time, with or without cause, with or without notice, including but not limited to if:

You breach any provision of these Terms
We receive a valid copyright infringement notice regarding Your Content
We have reason to believe Your Content violates third party rights
Your account is flagged as a repeat infringer
You engage in fraudulent or deceptive practices
Required by law or legal process

6.3 Effect of Termination

Upon termination:

Your license to use the platform terminates immediately
We will cease distribution of Your Content (excluding previously authorized promotional uses)
We may retain copies of Your Content as required by law or for legitimate business purposes
Sections that by their nature should survive termination will survive

7. Indemnification

You agree to indemnify, defend, and hold harmless Lavafoshi, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to:

Your Content, including any claims that Your Content infringes or misappropriates any third party rights
Your use of the platform
Your breach of these Terms
Any third party claim related to your ownership or right to distribute Your Content
Your violation of any law or the rights of any third party

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

LAVAFOSHI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAVAFOSHI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE PLATFORM.

10. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the platform and updating the "Last Updated" date. Your continued use of the platform after such changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Maldives, without regard to its conflict of law provisions.
